Terms of Service

1. Acceptance of Terms

By accessing or using the Eternis website (the "Site") or any services offered by Eternis ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Site or our services. These terms apply to all visitors, waitlist registrants, and future customers.

2. Description of Services

Eternis is a human preservation platform currently in pre-launch phase. Our intended services include, but are not limited to:

• DNA and biological sample collection and cryogenic preservation
• Whole genome sequencing with member-controlled cryptographic encryption (universal opt-in or bundled with Premium tier)
• The Vault — a private member portal for sample tracking, epigenetic profiling, and legacy management
• Digital Epigenome — optional digital presence preservation
• Imprint — an AI-based personality model built from user-provided data
• Family preservation across multiple members and generations

Services are not yet active. Joining our waitlist does not constitute a purchase, subscription, or service agreement. Full terms governing active services will be published prior to launch.

3. Waitlist Registration

By submitting your email address, you are registering interest in Eternis services. This does not create a binding contract, guarantee service availability, or lock in any specific pricing. We reserve the right to modify, delay, or cancel the launch of any service without liability to waitlist registrants. You may remove yourself from the waitlist at any time by unsubscribing from our communications.

4. Intellectual Property

All content on this Site — including but not limited to text, design, graphics, logos, the Eternis name, the "soon enough, forever" slogan, the Vault concept, the Imprint concept, and the Digital Epigenome concept — is the intellectual property of Eternis and is protected by applicable copyright and trademark laws. Unauthorized reproduction, distribution, or use of any content is strictly prohibited.

5. Future Biological Services — Important Notices

When biological sample collection and preservation services become active, additional terms will govern those services. You should be aware of the following now:

• DNA and biological sample preservation is a long-term commitment. Storage continuity is subject to subscription maintenance.
• The future applications of preserved genetic material — including regenerative therapies, genetic identity reconstruction, or AI-based modeling — are speculative and not guaranteed by Eternis.
• Eternis does not represent or warrant that future scientific advancements will enable any specific use of preserved samples.
• Biological samples are stored with certified third-party biobank partners. Sample integrity is subject to partner facility standards and force majeure events.

6. Imprint & Digital Epigenome — Important Notices

The Imprint feature, when available, creates an AI model based on user-provided digital content and guided inputs. This model is intended solely as a personal legacy tool. It is not a simulation of consciousness, a legal representation of any person, or a substitute for professional grief counseling or mental health support. Eternis makes no representations about the accuracy, completeness, or emotional fidelity of any AI model generated through the Imprint feature. All digital content connected through the Digital Epigenome feature remains the property of the user and is governed by our Privacy Policy.

When you connect social media accounts through the Digital Epigenome feature, Eternis requests read-only OAuth access tokens from those platforms. These tokens are encrypted at rest and stored securely. Eternis does not post, modify, or delete content on your behalf on any connected platform. You may revoke access to any connected account at any time from your Vault dashboard, which immediately invalidates our stored access token. In the event of a security incident that may have exposed your connected account credentials, you will be notified within 72 hours and provided with instructions to revoke access and secure your accounts.

7. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ETERNIS DOES NOT WARRANT THAT:

• The Site will be uninterrupted or error-free
• Any information on the Site is accurate, complete, or current
• The Site is free of viruses or other harmful components

Scientific statements on this Site regarding future applications of DNA preservation reflect current research trends and do not constitute medical advice, scientific guarantees, or promises of future outcomes.

8. Limitation of Liability

To the fullest extent permitted by law, Eternis shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Site. During the pre-launch waitlist phase — where no biological samples, payments, or sensitive personal data beyond your email address are collected — our total liability to you for any claim shall not exceed $100. Liability terms governing active DNA preservation, Vault membership, Digital Epigenome, and Imprint services will be published in full prior to service launch, will be proportionate to the nature of those services, and will require your separate written agreement before those services activate.

9. Governing Law

These Terms of Service are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of Texas.

10. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. For material changes — including any changes to data handling, storage rights, or liability — we will notify waitlist members via email at least 30 days before the changes take effect. For active members holding biological samples or Vault memberships, material changes to data handling, storage, or liability terms require your affirmative written consent. Continued use of the Site for non-material changes (such as formatting or contact information updates) constitutes acceptance of the revised terms. Changes are effective upon posting unless stated otherwise.

11. Change of Control & Company Continuity

In the event Eternis ceases operations, is acquired, or undergoes a change of control: (1) you will be notified by email at least 60 days in advance; (2) your biological samples will remain in storage under your unique identifier at the partner biobank facility, with custody transferring directly to you or your designated beneficiary; (3) your personal data will not be transferred to an acquiring entity without your affirmative opt-in consent; and (4) you will have the right to request deletion of all personal data within 30 days of notification. These protections survive any change of control and are binding on any successor entity.
